FAQs

How does Unlawyer know that an LLC is the right structure for my business?

It’s a process of elimination. LLCs and corporations (including S corporations) offer limited liability, meaning that except in unusual circumstances your personal assets should be protected from liability for claims against the company. This is a primary legal reason to form an entity for your business. Unless you’re a tech startup, though, the C corporation isn’t likely to make sense because it has adverse tax consequences to the owners. For example, it’s hard to deduct losses and it double-taxes profits you take out of the company. The subchapter S corporation eliminates some of those tax consequences, so it can sometimes be the right choice. If the time is right (your CPA will help with that), however, an LLC can elect to be taxed as an S corp, so starting with an LLC preserves the option in the future to make the S election. And in the absence of S corp tax status, the LLC is an easy, flexible way to organize a business. So for almost all small businesses, the LLC is the right starting point.

How does Unlawyer know what state to form my LLC in?

We file your LLC in your home state so that you don’t pay state filing fees, i.e., the fee to have it formed in another state and an additional fee to qualify it to do business where you operate. New business owners sometimes question whether they should form in Delaware or Wyoming or some other state that isn’t the state in which their business is located. There’s an impression that those states are better for taxes. You will be responsible to pay taxes in the state (or states) in which you generate revenues, regardless of the state in which your company is formed. For small businesses, this almost always includes the state in which your office is located (i.e., your home state) so it makes sense to form it there.

What are the Unlawyer contracts?

What is a registered agent and do I need to pay for one?

Every state requires companies formed or doing business there to have a registered agent, which is a contact and address on public record at which the company can receive mail. We don’t offer registered agent services because you can serve as your company’s registered agent, so long as you have an address in the state (which you will because we form your LLC in the state where you are doing business). That’s in keeping with our approach that you shouldn’t pay for things that you can do yourself or don’t need. A potential downside of this, though, is that your name and address will be public. Some business owners, especially if you’re using your home as your office address, don’t want this. So if that’s the case, we can discuss other options on our call.

How do I obtain an EIN and why should I do it myself?

You’ll need an Employer Identification Number (EIN) for the company. This is a unique tax ID, like a social security number, for your company. It takes about 5 minutes to obtain an EIN from the IRS website. We don’t do it for you because we don’t think you should pay for something you can easily do yourself. And we’re here if you have questions. Here are a couple pointers. Make sure to apply on the actual IRS site and not a third party provider (since they will charge you). And for IRS treatment, a single member LLC will be a “disregarded entity” and a multi-member LLC will initially be a “partnership”. And don’t file for the EIN until we send you the official LLC certificate.

What happens after I place an order on the website?

Once you place the order on the website, you’ll receive an email to schedule a consultation call with me, John Gerber. During the call, I will review your information, answer your questions, and guide you through the next steps of the LLC formation process. If you’re not happy at that point, you can get your money back.

What information do I need to provide to Unlawyer to make the LLC filing?

After you place your order, you'll also receive an email requesting the essential details needed to file your LLC, and this includes your full legal name, business name, business address, and basic contact information. Once you reply with these details, we'll have what we need for a smooth filing process.

What the is most common problem in the filing process?

Naming can be challenging. Sometimes it takes more than one try to find a name that works. Your new business name will need to be available in your state, meaning that no other company has that or a similar name on record there, and clear of competing names (this is trademark law but short answer is that you need to search for registered marks on the USPTO website). Just because a name is available in a state for filing doesn’t mean it’s clear for use. And you will need to find an acceptable domain.

Is my personal information secure with Unlawyer?

Absolutely. Unlawyer collects only the essential information required to process your LLC filing and create your contracts. All data communication and file storage is handled through secure, encrypted systems to ensure your privacy and confidentiality. We will never sell your information.

Remember, though, that information you provide for you LLC filing will become public record.

What if my state has unique filing requirements?

John is experienced with the varying requirements across different states. During your consultation call, he will address any state-specific considerations to ensure that your filing will be accepted by the state.

What support is available after my LLC is formed?

After your LLC is successfully filed, you’ll receive a comprehensive follow-up email that outlines next steps, such as obtaining your EIN, opening a business bank account andhow to use the contracts. If further questions arise, John is available through his legal practice at Unlawyer Inc. to provide additional advice or refer you to specialized resources.
